Our client, a large-scale firm serving clients both nationally and internationally, wishes to join a corporate law assistant in its corporate law department to assist three paralegals.
Tasks and responsibilities:• Participate in the preparation of articles of incorporation, amendment and dissolution according to established models;• Participate in the preparation of various resolutions, declarations and annual reports necessary for the updating of companies, as well as internal corporate profiles, and the updating of department lists, on a regular basis;• Participate in the preparation of resolutions for dividend declarations, share issues and transfers, buybacks, rollovers, etc.; • Collaborate with correspondents in other provinces in Canada on extra-provincial annual reports, resolutions and required special powers;• Collaborate in the preparation of fence binders;• Ensure the updating of registers;• Verify information in government databases;• Collaborate with corporate paralegals when sending documentation;• Performs all other duties related to the position.
Skills required:• D.E.C in legal secretarial work, legal techniques, or equivalent;• At least 2 years of experience as a corporate law assistant;• Good proficiency of MS Office suite software;• Excellent written and verbal communication skills, in both French and English;• Good judgment, organizational skills, attention to detail and resourcefulness;• Ability to manage emergencies and prioritize tasks;• Ability to manage multiple files simultaneously;• Ability to work in a team;• Excellent interpersonal relationships.
