Responsibilities — deliver complete corporate files, from preparation to closing
Draft resolutions and corporate documents related to ongoing transactions (incorporation, organization, amendment of bylaws, merger, liquidation, dissolution).
Prepare closing agendas, base contracts, and resolutions required in business purchases/sales, corporate reorganizations, and financings.
Modify capital structures, administrative regulations, or general regulations as needed for the files.
Prepare and file with authorities the required declarations, reports, and notices, as well as post-transaction filings with the appropriate government bodies.
Participate in closing sessions with the working team to ensure smooth and compliant execution.
Update corporate data in GlobalAct and ensure the accuracy of information throughout operations.
Conduct research in public registers (Business Registrar, Corporations Canada) to support transactions.
Profile sought — essentials for success in a fast-paced transactional environment
Have a minimum of 10 years of experience in corporate law, in a large firm or in-house.
Hold a degree in legal techniques or a certificate in business law.
Master both French and English (bilingualism required).
Demonstrate consistent rigor and a strong sense of discretion in managing sensitive files.
Stay on track in a fast-paced environment with a high transactional volume.
Conditions — compensation, schedule, and benefits
Offer a salary starting at $100,000 and a bonus of up to 10%.
Work 35 hours/week (9 am to 5 pm) with flexibility between 8 am and 6 pm.
